Please read these Terms of Service carefully before using the anawanta platform. By using our Services, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using the anawanta platform, website, or any of our services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services.
These Terms constitute a legally binding agreement between you and anawanta Inc. ("anawanta", "we", "us", or "our"). We reserve the right to update these Terms at any time, and your continued use of the Services after any changes constitutes acceptance of the new Terms.
If you are using the Services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.
2. Eligibility
You must be at least 18 years of age to use our Services. By agreeing to these Terms, you represent and warrant that you are at least 18 years of age.
You may not use our Services if you have previously been suspended or removed from the platform, or if your use of the Services violates any applicable law or regulation.
Anawanta reserves the right to refuse access to the Services to any person or entity at our sole discretion.
3. Accounts & Registration
To access certain features of our Services, you must create an account. When you register, you agree to provide accurate, current, and complete information and to keep this information up to date.
Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at support@anawanta.net of any unauthorized use of your account.
One Account Per User: You may not create more than one account without our prior written consent. Accounts are non-transferable and may not be sold, combined, or otherwise shared with any other person.
Account Termination: We reserve the right to suspend or terminate your account at any time for any reason, including but not limited to a violation of these Terms, without prior notice or liability.
4. Customer Conduct
As a customer on the anawanta platform, you agree to:
- Provide accurate shipping and billing information for all purchases - Pay for all items you purchase and not engage in fraudulent chargebacks - Use purchased products only for lawful purposes - Treat vendors and other users with respect in all communications - Not attempt to circumvent the platform by transacting with vendors outside of anawanta
You are prohibited from using the Services to purchase items that are illegal in your jurisdiction, to engage in money laundering, or to facilitate any other illegal activity.
5. Vendor Terms
If you register as a vendor on anawanta, additional terms apply:
Eligibility: Vendors must be a legal business entity or sole proprietor with the legal right to sell the products listed. You must provide accurate business and tax information during registration.
Listings: You are solely responsible for the accuracy, content, and legality of your product listings. You warrant that your products do not infringe any third-party intellectual property rights and comply with all applicable laws and regulations.
Subscriptions: Vendor access to the platform requires an active subscription plan. Features and commission rates vary by plan. Failure to maintain an active subscription will result in your listings being deactivated.
Payouts: Vendor payouts are processed according to the payout schedule specified in your vendor dashboard. anawanta reserves the right to withhold payouts in cases of suspected fraud, chargebacks, or policy violations.
Prohibited Products: Vendors may not list counterfeit goods, illegal items, hazardous materials, weapons, or any products that violate anawanta's prohibited items policy.
6. Payments & Fees
Customer Payments: All prices displayed on the platform are in the currency shown at checkout. You authorize us to charge your selected payment method for all purchases made under your account.
Refunds: Refund eligibility is determined by the individual vendor's refund policy and anawanta's Refund Policy. anawanta may intervene in disputes at our sole discretion.
Vendor Commissions: anawanta does not charge any commission on sales made through the platform. anawanta charges only monthly or annual subscription fees.
Taxes: You are responsible for determining and paying any taxes applicable to your transactions. anawanta may collect and remit certain taxes where required by law.
Failed Payments: If a payment fails, we reserve the right to suspend access to your account or listings until payment is resolved.
7. Intellectual Property
Our IP: The anawanta platform, including its design, logos, text, graphics, and software, is owned by anawanta Inc. and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.
Your Content: By uploading content to the platform (including product images, descriptions, and reviews), you grant anawanta a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with operating and promoting the Services.
Copyright Infringement: If you believe any content on our platform infringes your copyright, please contact us at legal@anawanta.net with sufficient detail to identify the allegedly infringing material.
Trademarks: anawanta and its logos are trademarks of anawanta Inc. You may not use our trademarks without our prior written consent.
8. Prohibited Activities
You agree not to engage in any of the following activities:
- Violating any applicable local, national, or international law or regulation - Impersonating any person or entity or misrepresenting your affiliation with any person or entity - Uploading or transmitting viruses, malware, or any other malicious code - Attempting to gain unauthorized access to any part of the Services or its related systems - Scraping, crawling, or using automated tools to extract data from the platform without our written consent - Interfering with or disrupting the integrity or performance of the Services - Posting false, inaccurate, or misleading reviews or ratings - Using the platform to send unsolicited communications (spam) - Engaging in price manipulation or any form of market abuse
9. Disclaimers & Limitation of Liability
As-Is Basis: The Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
Third-Party Vendors: anawanta is a marketplace platform. We do not manufacture, store, or inspect the products sold by vendors. We make no representations or warranties regarding the quality, safety, or legality of vendor products.
Limitation of Liability: To the maximum extent permitted by applicable law, anawanta shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Services.
Cap on Liability: Our total liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the amount you paid to anawanta in the 12 months prior to the event giving rise to the claim, or (b) $100 EGP.
10. Indemnification
You agree to indemnify, defend, and hold harmless anawanta Inc. and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:
- Your access to or use of the Services - Your violation of these Terms - Your violation of any third-party right, including any intellectual property right or privacy right - Any content you upload or submit to the platform - Your products or services (if you are a vendor)
Anawanta reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, in which case you agree to cooperate fully with us.
11. Governing Law & Disputes
These Terms shall be governed by and construed in accordance with the laws of Egypt, without regard to its conflict of law provisions.
Dispute Resolution: We encourage you to contact us first at support@anawanta.net to resolve any disputes informally. Most concerns can be resolved quickly this way.
Arbitration: If informal resolution fails, any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration in Cairo, Egypt, in accordance with the rules of the Egyptian Center for Arbitration and Settlement of Disputes (ECASD).
Class Action Waiver: You agree that any dispute resolution proceedings will be conducted on an individual basis only and not as a class, consolidated, or representative action.
Exception: Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration.
12. Termination
By You: You may terminate your account at any time by contacting us at support@anawanta.net or through the account deletion option in your profile settings. Termination does not entitle you to any refund of subscription fees already paid.
By Us: anawanta may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Reasons for termination include but are not limited to violation of these Terms, fraudulent activity, or extended inactivity.
Effect of Termination: Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, indemnification, and limitations of liability.
13. General Provisions
Entire Agreement: These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and anawanta concerning the Services.
Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. anawanta may assign its rights and obligations under these Terms without restriction.
Force Majeure: anawanta shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, war, terrorism, pandemic, or government action.
